契約英文的特徵
所謂的契約英文，並無與一般英文不同的特殊句型結構。它只是像一般商用英文一樣，排除了隱喻、修辭學的表現，並絕對禁止可以這樣解釋、也可以那樣解釋般模稜兩可的表現。因此，在非強烈必要的情況下，避免使用「前者 (the former)、後者 (the latter)」等表現方式；就算句子有點了無新意，也會反覆使用。
換句話說，跟名言佳句比起來，契約英文或許較無華麗的詞藻，但它必須是意思明確的句子。再說得口語一點，與其用名作家寫的語意模糊句，小學生直截了當的表現方式雖然有點幼稚，但當作契約句反倒相當得宜。
特徵 1 避免使用特殊慣用語 (idiom) 或俚語 (slang)，要用最平凡的單字。

特徵 2 避免使用暗示、隱喻或修辭表達，要具體直述。
If the lessee is in a difficult position to pay the rent on its due date …
If the lessee fails to pay the rent on its due date …
若租賃者未於付款日交付租金……
Leasing the whole house costs me an arm and a leg.
Leasing the whole house costs me lots of money.
租下整間房子對我來說是很大的負擔。
I must get through the work by tomorrow.
I must finish (or complete) the work by tomorrow.
明天之前我必須完成這份工作。
特徵 3 像性別及單複數這類連英文母語人士都難以區分的名詞問題，最好一開始就先明示如下。
Singular and Plural 單數和複數
Words importing the singular only also include the plural and vice versa where the context requires.
上下文中需要時，單指單數的語彙亦含有複數之意，反之亦然。
特徵 4 契約書中，當日期與 to, until, till, from, before 或 after 標示在一起時，若未說明該日期是否包含在內，未來可能會成為契約的爭執點，因此最好先將其定義如下。
The words “to,” “until,” “till,” “from,” “before” or other words similar thereto used in the Agreement shall be deemed to include the date mentioned.
However, the word “after” shall be understood to exclude the date mentioned.
本契約中 “to”、“until”、“till”、“from”、“before” 及其相似語彙與日期一同使用時，應視為包含所述日期。然而，“after” 與日期同時出現時，應理解為不包含所述日期。
特徵 5 對各項契約的標題，也必須將其與契約實際內容的關係做下列說明。
Headings and Context 標題與上下文
The headings used herein shall not be deemed a part of this Agreement and shall not be taken into consideration in the interpretation or construction of the terms and conditions of this Agreement.
這裡所用的標題不應被視為本契約中的一部分，也不應當作契約條件之解釋。
The headings to the articles of this Agreement are for reference only, and they do not form a part of this Agreement and shall not in any way affect the interpretation of any clause.
本契約各項目之標題，僅便於參考，並不屬於契約的一部分，亦不對各項內容之解釋產生任何影響。
英文契約的構成要素
★ 權利之放棄 (Waiver)
所謂的契約，就是不管在何種情況，按照當事人之間的自由意思發展出的雙務關係，因當事人之間的特殊關係、親疏程度、交易關係的持續等不同，會增減契約的特定條例；根據情況的不同，也可能不會嚴格要求對方遵守契約執行，如義務條例不履行等枝微末節的內容。
比方說，契約中規定每季最後一日起 30 日內有支付貨款的義務，但經常有延遲 2-3 日才履行，在無特別懲罰條例之下，交易依然持續進行的情況。但即使有些特殊情況是能睜一隻眼、閉一隻眼容忍對方的違約事例，對於同項條例或其他條例的不履行，若不希望被視為放棄要求對方嚴格遵守的權利，還是需要在契約中事先加以規定。
【書寫範例】
The failure of a party to insist upon strict adherence to any term of this Agreement on any occasion shall not be considered a waiver, or to limit that party’s right thereafter to insist upon strict adherence to that term in the particular instance or any other term of this Agreement in any instance. Any waiver must be in writing.
當事人某一方在特定的情況下，就算未嚴格要求對方遵守本契約條例，也不被視為放棄或限制要求對方嚴守該條例或其他條例的權利。一切棄權須以書面為之。
The failure by either party to enforce any of the terms or conditions hereof shall not constitute a waiver of that party’s right thereafter to enforce that or any other terms or conditions of this Agreement.
當事人任一方即使未執行本契約的特定條例，也不代表之後將放棄能執行該條例或其他條例於契約上之權利。
★ 契約中未規範事項 (Miscellaneous Matters)
以文件的形式來簽約，就算將內容條列出來，也無法完全列出代表契約主體之人／法人的所有行為。本來法律就是規定人類行為當為之最低底線，而契約條款是根據社會規範或交易習慣等，被視為理所當然的事項，是即使不用文件的形式列舉出來也必須遵守的規定。
【書寫範例】
The matters not mentioned in this Agreement or not agreed in detail by the parties shall be handled in accordance with the Uniform Customs and Practice for Documentary Credits and the Uniform Rules for Collection of the International Chamber of Commerce.
本契約中未規定（提及）或未達成具體協議之事項，將依據國際商工會議所之「信用狀統一慣例」及「託收統一規則」辦理。
The matters not mentioned herein in detail shall be amicably determined by and between the parties. However, the matters not amicably settled therebetween shall be finally subject to the decision of arbitrators appointed in accordance with the rules of arbitration of the Chinese Arbitration Association, Taipei.
本契約中未具體規範之事項，應透過契約當事人之間的友好協商決定。然而，無法以友好協商解決之事項，最終將遵從中華民國仲裁協會的仲裁規則及受任仲裁委員之決定。
